These Terms of Service ("Terms") govern your access to and use of the Spikato mobile application, website,
and related services (collectively, the "Service") provided by Prinix Labs ("we", "us", or "our").
The Service is provided strictly and exclusively for the purpose of learning the English
language. By downloading, installing, or using the Service, you agree to be bound by these
Terms. If you do not agree to these Terms, or if you intend to use the Service for any purpose other
than learning English, you must not sign up, access, or use the Service.
1. Eligibility
You must be at least 13 years old to use Spikato (or the minimum age of digital consent in
your country). By using the Service, you represent and warrant that you meet this age requirement. If you
are under the age of 18, you must have permission from a parent or legal guardian to use the Service and
make purchases.
2. Account Registration & Security
- You may register using an email and password or via third-party authentication (e.g., Google Sign-In).
- You are entirely responsible for maintaining the confidentiality of your login credentials.
- You must provide accurate and up-to-date information during registration.
- You may not share your account, transfer it to another person, or create multiple accounts to circumvent
free-tier limitations.
- We reserve the right to suspend or terminate accounts that we reasonably suspect violate these Terms.
3. Subscriptions, Payments & Digital Goods
3.1 Free Tier
Spikato offers a free tier with limited access to features, which may include a monthly allocation of free
live AI call minutes and a restricted number of lessons. We reserve the right to modify the limits of the
free tier at any time.
3.2 Pro Subscription & Auto-Renewal
- A monthly Pro subscription unlocks full access to premium features.
- Subscriptions are billed monthly through the Apple App Store or Google Play Store.
- Subscriptions automatically renew unless canceled at least 24 hours before the end of the current
billing period. You can manage or cancel your subscription exclusively through your app store settings.
3.3 Minute Top-Ups (Consumables)
- You may purchase additional live AI call minutes as in-app consumables.
- Purchased minutes roll over and do not expire as long as your account remains active.
- Consumable purchases are tied to your specific account and cannot be transferred or exchanged for
real-world money.
3.4 Digital Services Only (No Physical Goods)
The Service solely provides digital content, software functionality, and virtual minute balances. We
do not sell, ship, or deliver any physical goods.
3.5 Refund Policy & EU Right of Withdrawal
All purchases are processed and managed by Apple or Google. We do not process payments or issue refunds
directly.
- For EU/UK Consumers: By purchasing a Pro subscription or Minute Top-Ups and immediately
accessing the premium digital content, you acknowledge and agree that you lose your statutory 14-day
right of withdrawal. All refund requests must be directed to the respective app store and are subject to
their specific refund policies.
4. Acceptable Use Policy
The Service is for language education only. You agree not to use the Service to:
- Violate any applicable local, national, or international laws.
- Seek medical, legal, financial, or emergency advice from the AI.
- Attempt to access, tamper with, or reverse-engineer our backend systems, APIs, or AI models.
- Engage in "prompt injection," automated scraping, or attempts to manipulate the AI into violating its
safety guidelines.
- Upload, type, or speak harmful, offensive, explicit, or inappropriate content.
- Interfere with the normal operation of the Service or other users' access to it.
5. AI-Generated Content & STRICT DISCLAIMER
Spikato utilizes advanced artificial intelligence (including text-to-speech, speech-to-text, and large
language models) to generate conversation responses, lesson grading, and pronunciation feedback.
- EDUCATIONAL PURPOSE ONLY: The Service is a language learning tool. Under no
circumstances should the AI-generated responses, feedback, or roleplay scenarios be interpreted as, or
used as a substitute for, professional advice.
- NO MEDICAL, LEGAL, OR PROFESSIONAL ADVICE: You explicitly agree that you will not use
the AI to seek, rely upon, or act upon advice regarding medical diagnosis or treatment, legal counsel,
financial or tax planning, or emergency safety instructions.
- AI HALLUCINATIONS: Artificial intelligence can occasionally produce incorrect,
completely fabricated ("hallucinated"), or inappropriate responses.
- ASSUMPTION OF RISK: You use the AI features at your own risk. We are not legally
responsible for the accuracy, completeness, or real-world applicability of any AI-generated outputs.
6. Intellectual Property & User Content
- Our Property: All content, code, design elements, algorithms, and branding in the
Service are owned by Prinix Labs or licensed to us. You may not copy, distribute, modify, or create
derivative works without our prior written consent.
- Your Content: You retain ownership of any content you provide (e.g., text inputs or
spoken audio). By submitting this content, you grant us a temporary, non-exclusive license strictly to
process it in real-time to deliver the Service. As stated in our Privacy Policy, we do not permanently
store your biometric voice audio, nor do we use your personal data to train foundational AI models.
7. Privacy
Your privacy is critically important to us. Our collection, use, and protection of your personal data are
governed by our Privacy Policy, which is incorporated into these Terms by reference.
8. Account Deletion & Termination
- By You: You may delete your account at any time from Profile → Help & Support → Request Account Deletion.
Deletion is permanent and irreversible.
- By Us: We reserve the right to suspend or terminate your account or access to the
Service at our sole discretion, without notice or liability, if we determine that you have violated
these Terms. Upon termination, your right to use the Service ceases immediately.
9. Disclaimer of Warranties
The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express
or implied, including but not limited to implied warranties of merchantability, fitness for a particular
purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free,
completely secure, or that the AI services will always be available.
10. Limitation of Liability
To the fullest extent permitted by applicable law, Prinix Labs and its affiliates, officers, employees, and
agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages
(including loss of profits, data, or goodwill) arising from your use of or inability to use the Service.
Our total maximum liability to you for any claims arising from these Terms shall not exceed the amount you
paid us in the 12 months preceding the claim.
EU/UK Consumer Carve-Out: If you reside in the European Union or the United Kingdom, nothing
in these Terms excludes or limits our liability for death or personal injury caused by our negligence, or
for fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
11. Governing Law & Dispute Resolution
- These Terms shall be governed by and construed in accordance with the laws of the Province of
Alberta, Canada, without regard to conflict of law principles.
- For EU Consumers: If you are a consumer residing in the European Union, you will
benefit from any mandatory provisions of the law of the country in which you are resident. Nothing in
these Terms affects your rights as an EU consumer to rely on such mandatory provisions of local law.
12. Changes to These Terms
We may update these Terms from time to time to reflect changes in our Service or legal requirements. We will
notify you of material changes by updating the "Last Updated" date at the top of this page. Your continued
use of the Service after the effective date of changes constitutes your acceptance of the updated Terms.
